After a binding agreement is formed, cancellation or amendment is governed by the applicable quotation, contract, approved policies, and Saudi law.
9. Pricing and VAT
Unless expressly stated otherwise, website content is not a price offer.
Each quotation will identify:

- Delivery charges.

Where permitted by the applicable agreement and law, Nabdina may delay processing, delivery, installation, or service while an amount is overdue or payment verification is incomplete.
11. Availability and substitutions

12. Delivery
Delivery areas, estimated dates, charges, and methods will be stated in the quotation, contract, or Shipping and Delivery Policy.
Delivery estimates begin after the conditions stated in the quotation have been satisfied, which may include:
- Written order confirmation.
- Receipt or verification of payment.
- Regulatory or purchaser authorization.
- Product availability.
- Complete delivery and contact information.
- Confirmation that the delivery site is ready.
The customer must provide an accurate address, authorized contact, access information, and reasonable delivery instructions.

13. Installation, commissioning, and training

- Electrical, network, environmental, or structural requirements.

14. Returns, refunds, and cancellation

Nothing in these Terms limits a non-waivable consumer right.

The customer should preserve relevant packaging and must not use a product where use may be unsafe.
16. Warranty and maintenance

Subject to applicable law and the approved warranty, coverage may exclude issues caused by:

Customer terms included in a purchase order or another document do not automatically apply unless Nabdina expressly accepts them in writing.
29. Severability and no waiver
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A delay or failure to exercise a right does not constitute a waiver of that right.
30. Assignment
A customer may not transfer a confirmed order or contractual right to another party without Nabdina’s written approval, unless applicable law provides otherwise.
Nabdina may transfer rights or obligations as part of a lawful restructuring, business transfer, or approved subcontracting arrangement, provided that this does not reduce any non-waivable customer right.
31. Language
The website may provide these Terms in Arabic and English.
Both versions are intended to communicate the same principles. If an inconsistency arises, the Arabic version will apply to the extent permitted by Saudi law, unless a signed contract expressly provides otherwise.
32. Governing law and disputes
These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.
The parties should first attempt to resolve a dispute through good-faith communication.
Subject to any mandatory consumer complaint or regulatory procedure, a dispute that cannot be resolved amicably will be submitted to the competent courts of the Kingdom of Saudi Arabia.
Nothing in these Terms prevents an eligible person from submitting a complaint to the Ministry of Commerce, the Saudi Food and Drug Authority, the competent personal-data protection authority, or another competent Saudi authority.
